Rothenberg focuses his practice on mergers and acquisitions, venture capital and other equity financings, joint ventures, and other strategic transactions for businesses in a variety of industries including the technology, emerging and traditional media, content marketing and production, and advertising and promotions arenas. Mr. Rothenberg also counsels closely-held and family-owned businesses in a variety of industries in their acquisitions, dispositions, joint ventures and other strategic transactions and acts as their outside general counsel and trusted advisor. Mr. Rothenberg represents multinational companies, private equity and venture capital investors, start-up and mature technology companies, production companies, and advertising and promotions agencies, advising them on a range of matters from day-to-day issues to their most important transactions. He regularly negotiates complex deals ranging from merger agreements, stock, membership interest and asset purchase and sale agreements – for intellectual property and technology centric businesses, stockholder and limited liability company operating agreements, equity and long-term incentive compensation arrangements to subscription and contribution agreements in connection with raising seed stage and venture capital for the formation of new ventures.
